1. Definitions 

• Seller: Evolv OÜ, a company registered in Estonia. 
• Buyer: Any natural or legal person who places an order with the Seller. 
• Goods/Products: The items offered for sale by the Seller on its website or through other  channels. 
• Order: A request by the Buyer to purchase Goods from the Seller. 
• Contract: The legally binding agreement formed between the Seller and the Buyer upon  acceptance of the Order by the Seller. 
• Website: The official website of Evolv OÜ, currently located at www.evolv-marine.com 
• Price: The price of the Goods as displayed on the Website or otherwise communicated  by the Seller, excluding any applicable taxes and shipping costs. 

2. Ordering Process 

2.1. The presentation of Goods on the Website does not constitute a binding offer for sale. It is  merely an invitation to the Buyer to make an offer. 

2.2. To place an Order, the Buyer must follow the instructions provided on the Website. This may  involve selecting the Goods, providing necessary personal and payment information, and  confirming the Order. 

2.3. By submitting an Order, the Buyer makes a binding offer to purchase the selected Goods  under these Terms. 

2.4. The Seller reserves the right to refuse any Order without providing a reason. 

2.5. Acceptance of the Order and the formation of the Contract will occur when the Seller sends  an order confirmation (e.g., via email) to the Buyer. This confirmation will include details of the  Order, such as the Goods ordered, the Price, and estimated delivery time. 

3. Prices and Payment 

3.1. The Prices of the Goods are stated on the Website and are subject to change without  notice. The Price applicable to an Order will be the Price in effect at the time the Order is  placed. 

3.2. All Prices are displayed in EURO are exclusive of any applicable value-added tax (VAT) or  other sales taxes, unless explicitly stated otherwise. 

3.3. Shipping costs, if applicable, will be clearly displayed during the ordering process and will  be added to the total Price. 

3.4. Payment must be made using the payment methods specified on the Website. The Seller  reserves the right to change the accepted payment methods at any time. 

3.5. The Buyer agrees to pay the total Price, including the Price of the Goods and any applicable  taxes and shipping costs.

3.6. If payment is not received or is declined by the payment service provider, the Seller may  cancel the Order. 

4. Delivery 

4.1. The Seller will make reasonable efforts to deliver the Goods within the estimated delivery  timeframe communicated to the Buyer. However, these timeframes are estimates only and are  not guaranteed. The Seller is not liable for any delays in delivery that are beyond its reasonable  control. 

4.2. The Goods will be delivered to the shipping address specified by the Buyer in the Order. The  Buyer is responsible for ensuring that this address is accurate and complete. 

4.3. Risk of loss and damage to the Goods passes to the Buyer upon delivery. 4.4. The Seller may deliver the Goods in instalments if necessary. 

5. Returns and Refunds 

5.1. The Buyer has the right to return Goods in accordance with the applicable consumer  protection laws. This typically includes a withdrawal period during which the Buyer can cancel  the Contract and return the Goods without giving a reason. The duration of this period and the  conditions for exercising this right will be specified on the Website and will comply with  Estonian law. 

5.2. To exercise the right of withdrawal, the Buyer must inform the Seller of their decision within  the withdrawal period by a clear statement (e.g., by email or a letter sent by post). The Buyer  may use the model withdrawal form provided on the Website, but it is not obligatory. 

5.3. If the Buyer withdraws from the Contract, the Seller will reimburse all payments received  from the Buyer, including the costs of delivery (except for the supplementary costs arising if the  Buyer chose a type of delivery other than the least expensive type of standard delivery offered by  the Seller), without undue delay and in any event not later than 14 days from the day on which  the Seller is informed about the Buyer’s decision to withdraw from the Contract. 

5.4. The Seller may withhold reimbursement until the Seller has received the Goods back or the  Buyer has supplied evidence of having sent back the Goods, whichever is the earliest. 

5.5. The Buyer must return the Goods without undue delay and in any event not later than 14  days from the day on which they communicate their withdrawal from the Contract to the Seller.  The Buyer will bear the direct costs of returning the Goods. 

5.6. The Buyer is only liable for any diminished value of the Goods resulting from the handling  other than what is necessary to establish the nature, characteristics, and functioning of the  Goods. 

5.7. Certain types of Goods may be exempt from the right of withdrawal due to their nature (e.g.,  personalized items, perishable goods). These exceptions will be clearly stated on the Website. 

6. Warranty and Liability 

6.1. The Seller warrants that the Goods will conform to the specifications provided and will be  free from material defects at the time of delivery.

6.2. The Seller’s liability for defects in the Goods is limited to the extent permitted by applicable  law. 

6.3. To the extent permitted by law, the Seller shall not be liable for any indirect, incidental,  special, consequential, or punitive damages arising out of or in connection with the purchase or  use of the Goods. 

6.4. The Seller’s total liability to the Buyer for any claim arising out of or in connection with the  Contract shall not exceed the total Price paid by the Buyer for the Goods in question. 

7. Intellectual Property 

7.1. All intellectual property rights in and to the Website and its content (including but not  limited to text, images, logos, and trademarks) are owned by the Seller or its licensors and are  protected by applicable intellectual property laws. 

7.2. The Buyer is granted a limited, non-exclusive, non-transferable license to access and use  the Website for the purpose of purchasing Goods in accordance with these Terms. No other use  of the Website or its content is permitted without the prior written consent of the Seller. 

8. Privacy and Data Protection 

8.1. The Seller will collect, process, and use the Buyer’s personal data in accordance with its  Privacy Policy, which is available on the Website and forms an integral part of these Terms. 

9. Governing Law and Jurisdiction 

9.1. These Terms and any Contract formed under them shall be governed by and construed in  accordance with the laws of Estonia, without regard to its conflict of law provisions. 

9.2. Any dispute arising out of or in connection with these Terms or any Contract formed under  them shall be subject to the exclusive jurisdiction of the courts of Estonia. 

10. Amendments 

10.1. The Seller reserves the right to amend these Terms at any time by posting the revised  Terms on the Website. The revised Terms will be effective for all Orders placed after the date of  posting. It is the Buyer’s responsibility to review the Terms each time they place an Order. 

11. Severability 

11.1. If any provision of these Terms is held to be invalid or unenforceable, the remaining  provisions shall remain in full force and effect. The invalid or unenforceable provision shall be  replaced by a valid and enforceable provision that most closely reflects the original intention of  the parties.
